Terms of Service

1. Agreement to these Terms
By accessing or using Forgecept (the “Service”), you agree to these Terms of Service. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use Forgecept. By using the Service you represent that you meet these requirements.
3. What Forgecept Is
Forgecept is an online marketplace that connects founders who wish to license business concepts with builders who wish to develop them in exchange for a share of revenue. Forgecept provides the venue only. We are not a party to any agreement between users, do not author or vet the concepts listed, and do not guarantee the originality, legality, quality, or commercial potential of any concept.
4. Accounts
You are responsible for the accuracy of your account information and for keeping your login credentials secure. You are responsible for all activity under your account, and you agree to notify us promptly of any unauthorized use.
5. Listings and Confidentiality
Founders publish a public teaser of each concept; the full description remains private until a builder and founder sign an agreement that unlocks it. You agree not to attempt to access private concept details except through the Service’s intended flow, and to honor the confidentiality terms of any agreement you sign.
6. Fees
Creating an account, listing concepts, and applying to build are free. Forgecept earns a platform fee of 10% of the gross revenue of any business built through a deal made on the Service. This fee is set out in the Mutual NDA and Revenue-Share Agreement the parties sign, is owed in addition to the founder's negotiated revenue share, and is payable by the builder. We may change our fees with notice.
7. Deals Between Users
When a founder extends an offer and a builder signs, the parties enter a Mutual NDA and Revenue-Share Agreement. The revenue share between the founder and builder is theirs to perform; Forgecept does not collect or remit that share and is not responsible for the parties’ performance or its enforcement. Forgecept’s own platform fee (Section 6) is owed on deals made through the Service, as set out in that agreement.
8. Acceptable Use
You agree not to: misappropriate any concept or confidential information; circumvent the Service to transact off-platform in order to avoid obligations; scrape, copy, or harvest data; upload unlawful, infringing, or harmful content; or interfere with the Service’s operation or security.
9. Intellectual Property
Forgecept and its logo are our marks. You retain ownership of the content you submit and grant us a limited license to host and display it as needed to operate the Service.
10. Disclaimers
The Service and all concepts are provided “as is” and “as available,” without warranties of any kind. We do not warrant that any concept is original or viable, or that the Service will be uninterrupted or error-free.
11. Limitation of Liability
To the maximum extent permitted by law, Forgecept will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenue, arising from your use of the Service. Our total liability for any claim will not exceed the greater of the amounts you paid us in the prior twelve months or US$100.
12. Indemnification
You agree to indemnify and hold Forgecept harmless from claims arising out of your content, your use of the Service, your agreements with other users, or your violation of these Terms.
13. Termination
We may suspend or terminate your access at any time for violation of these Terms or to protect the Service or its users. You may stop using the Service at any time.
14. Changes
We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above, and continued use after changes constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
